Upgrading a 3.12 server to 3.2 and getting an error....

When I start the installation it immediately says Unable to open Startup.ncf...<br>
<br>
I have checked novell's website and tried everything they said, like being sure the startup.ncf is under c:\server.312 directory along with everything else... What else can I try??<br>
